How to Modify a Private Limited Company's Name
Step 1 : Board Resolution
The Board of Directors must hold a meeting and adopt a resolution in order to begin the process of renaming the corporation. The decision should provide a director or company secretary the go-ahead to apply to the Ministry of Corporate Affairs (MCA) to inquire about the suitability of the suggested new name. A resolution to summon an extraordinary general meeting (EGM) to change the company's name and make required changes to the articles of association and memorandum of association may also be approved by the board of directors at the same meeting.
Step 2. Verify whether the company name is available.
The authorised person may submit a name application to the Ministry of Corporate Affairs (MCA) after passing the resolution to determine the availability of the proposed company name. The process for requesting a name is comparable to that used to form a private limited company. To prevent any issues during the approval process, it is crucial to make sure the proposed name complies with the Companies Act 2013 Naming Guidelines.
Step 3: Adopt a special resolution to change the company name.
A special general meeting (EGM) must be held by the firm when the MCA grants consent to the proposed name. To formally alter the company's name, the shareholders must approve a special resolution at this meeting. The resolution should also be amended to include any necessary changes to the Memorandum of Association and Articles of Association.
Step 4: Apply for the change of the company name.
The company must file the special resolution and the application for approval of the name change with the Registrar of Companies (ROC) following the successful passage of the special resolution for the business name change. This application must be submitted using Form 1B and include the required fee in accordance with the established procedures.
Steps 5 : A new certificate of incorporation is issued
A new certificate of incorporation will be provided after the Registrar of Companies has reviewed and approved the application to alter the company name in a satisfactory manner. It is important to realise that the process of changing a company's name is only deemed complete and effective after the new incorporation certificate is obtained from the Registrar of Companies.
Step 6: Modify the MOA and AOA
It is crucial to update and include the new business name in all copies of the Memorandum of Association (MOA), Articles of Association (AOA), and Certificate of Incorporation issued by the Registrar of Companies after receiving the new incorporation certificate. This makes sure that the updated name according to the permitted revisions is appropriately reflected in the company's official documents.
Approval of Private Limited Company Name
Choosing the ideal name for your firm is an important and difficult undertaking. Your company's name will act as its major identifier and will be prominently displayed anywhere it is relevant to the firm. Therefore, it is crucial to pick a name that clearly defines your brand, makes a good first impression, and is intriguing. The rules established by the Ministry of Corporate Affairs (MCA) for naming a Private Limited Company in India are discussed in this article. Following these rules will guarantee a simple and hassle-free approval process for the name of your business.
